CLOSING SOON FOR SYDNEY CUP DAY LUNCHEON
A reminder to members that bookings will
be closing very soon for the Sydney
Cup Raceday at Royal Randwick – Saturday
25 April 2009.
As previous attendees will confirm, the
NSWROA Sydney Cup Luncheon is an event not to be missed.
The package for the day includes a sumptuous
buffet luncheon and beverage package, afternoon tea, Guest
Tipsters and Tipping Competition, Best Hat & Best
Tie Competition, a Raffle with great prizes, race book
and pen and full tote and
bookmaker facilities.
The luncheon, which is held
in the Vista Room, Level 5, Queen Elizabeth Stand, is
priced at $150.00 for NSWROA
members and $170.00 for
guests,
GST
inclusive.

NOTICE OF ANNUAL GENERAL
MEETING
Notice is hereby given that the forty-fourth
Annual General Meeting of the NSW Racehorse Owners Association
Limited (ACN
000 498 859) will be held at 'The Rugby Club', Rugby Place,
Off 31A Pitt Street, Sydney, 3rd Floor - Barbarian Room,
on the 19 May 2009 at 6.00pm.
- To confirm the Minutes of
the last Annual General Meeting held on 22nd July 2008.
- To receive and consider the Company’s
Accounts and Report of the Auditors.
- To receive and consider the
Report of the President on behalf of the Committee for
2008.
- To elect Auditors for the year 2009.
- To elect two
(2) Directors. In accordance with Articles 38 and 44 of
the Articles of Association, Christopher Keogh
and Michael Kissane retire and offer themselves for re-election.
Laurie Macri having been appointed as a Director to fill
a casual vacancy, retires and offers himself for re-election.
- Special Business
In order to update references in the company’s Constitution,
to recognise that the Association no longer requires payment
of entrance fees for new members, to allow the calling of general
meetings on a more expedient basis than the current 42 day
notice requirement, and to open membership of the Association
to all those who are interested in Owners’ rights
(albeit that they are not currently an Owner at the date
of joining),
the following resolution is to be considered at the AGM:
“RESOLVED AS A SPECIAL
RESOLUTION THAT:
- The reference to “Five
Pounds (5)” in paragraph 7 of the Memorandum
of Association, be deleted and replaced with the words “Five
Dollars (5)”;
- The definition of “Owner” in paragraph 1(l)
of the Articles of Association be deleted and replaced by the following
definition:
“ “Owner” means a person
who is or has been the owner or part owner or lessee of a horse registered
in accordance with the Australian
Rules of Racing and includes any current or former member of a race horse syndicate
registered in accordance with the Australian Rules of Racing.”
- Paragraph 3 of the Articles of Association be deleted and replaced
with the following:
“ The members of the
Association are the subscribers to the Memorandum of
Association and any person, being an Owner (or a person
who at the
date of applying for membership
has a current intention of becoming an Owner), as the Committee,
may, from time to time, admit to membership, and who continue to be Ordinary
Members
subject
to these Articles.”
- In paragraph 7, delete the reference
to “entrance fees and”.
- In paragraph 8, delete the
reference to “entrance and”.
- In paragraph 9, delete
the reference to “entrance fee and/or”.
- Delete
the first sentence in paragraph 10 and replace it with the
following:
“The annual subscription
shall be as determined from time to time by the Committee.”
- Before paragraph 17, delete the words in
the heading “ENTRANCE FEES
AND”.
- In paragraph 17, delete the reference “entrance
fees,”.
- In paragraph 23, delete the words “forty
two (42)” and replace
it with “twenty eight (28)”.
- In paragraph
36, delete the reference to “Corporations Law” and
replace it with “Corporations Act 2001 (Cth)”.”
- To transact any business that may be
transacted in accordance with the Company’s Articles
of Association.
N.B. Your attention is directed to:
- Article 40 of the Company’s Articles
of Association which provides, inter alia, that: “No person
shall be
eligible to become a Member of the Committee unless (his/her
written
consent having first been obtained) he/she shall be nominated
in writing by two (2) Ordinary Members of the Association
at least twenty-eight (28) days before the Annual General
Meeting at which the election is to take place”.
- Article
30(a) of the Company’s Articles of Association provides
that no member shall be entitled to vote at any meeting
of the Company unless the member
has paid all subscriptions due by him to the Company and such subscriptions
have been paid for not less than twenty-eight (28) days before the said
meeting.
- Article 33 of the Company’s Articles
of Association which provides, inter alia, that: “An Ordinary
Member
may appoint another person (being
an Ordinary
Member) as a proxy to attend and vote in his stead…”
- Article 34A of
the Company’s Articles of Association which provides,
inter alia, that: “Such instrument of proxy, to be valid,
shall
be lodged
at the
registered office of the Company not less than 48 hours before the
meeting at which it is to be utilised”.
- The registered
office of the company is Level 9, 66 King Street, Sydney,
NSW 2000.
- A copy of the Company’s Memorandum
and Articles of Association and the Company’s Financial
Statements
for the year ended 31st December
2008 are
available for
perusal at the registered office of the company.

GOLDEN SLIPPER
HATS AND HIGH TEA
SOLD OUT! No two words can bring a greater
smile to any event organiser. It is a status akin to winning
a
black
type race for a racehorse
owner.
It is something every event organiser dreams
of but does not always receive and particularly in today’s
economic climate, an incredible result.
So how fantastic was it for event organisers,
Catherine Kelly and Sharon Lenton that the inaugural Golden
Slipper Hats and High Tea function
on
22 March 2009, presented by
Sir Stamford at Circular Quay
in association with the NSW
Racehorse Owners Association
and Moët & Chandon,
achieved “
sold out” status well before the event was held.
Upon arrival guests were greeted by Sonia
Lipski, Miss World Australia Runner-Up 2008 as they entered
the grand
foyer. They were serenaded by
a trio of musicians as they
sipped
away on Moët & Chandon
amongst the guest of honour, Jean Carroll's collection of
beautiful theatre
hats.
Master of Ceremonies for the day was Richard
Davey who did a brilliant job.
The talented couture milliners headwear creations
were paraded by a team of beautiful models with a finale of
hats by Sydney celebrity milliner Neil
Grigg. Entertainment was
provided by Kathrine Taliana.
One of the highlights of the
afternoon was the competition for “Best Dressed” which
was enormously difficult for Guest Judge, Warren Turner of
Anthea Crawford, as the
level of immaculately dressed women was
extremely high. The winner
for the day
was Lisa Wellings
with close
runners up being
Judith Foley and Sarah Elliott.
The award for Best
Hat went to Anna Furlong.
GREAT NEWS! A Spring millinery function will
be held – so to those of you
who unfortunately missed out this time, make sure you book
in early to avoid disappointment.

VENUE STANDARDS QUESTIONNAIRE
The Association has been asked for feedback
(by way of questionnaire) by Racing NSW about the standard
of privileges, facilities and service provided
to
racehorse owners.
Accordingly, the Association is writing to
members to request their participation in responding to the
request.
